Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the DUGRIZZ application ("the App", "the Service"), you agree to these Terms of Service. If you do not agree to these terms, please do not use the App.

These Terms are governed by the Israeli Privacy Protection Law, 5741-1981, including Amendment 13 (effective August 2025), and the EU General Data Protection Regulation (GDPR) where applicable.

2. Service Description

DUGRIZZ is an AI dating coach that provides:

• AI-powered analysis of dating conversation screenshots
• Move-by-move assessment scores (chess-style ratings)
• Personalized suggested responses
• Coaching and feedback to improve communication skills
• Contact management (names, platforms) and structured memories (up to 10 per contact)
• User tendencies profile (communication style, strengths and weaknesses)
• ELO rating system, leaderboard, and weekly challenges
• Red flag detection and communication pattern analysis

3. Eligibility

The App is intended for users aged 18 and older only. By using the App, you represent that you are at least 18 years old. If we become aware that a user is under 18, their account will be deleted immediately.

4. User Account

DUGRIZZ operates anonymously using a device identifier. No account creation is required. You are responsible for maintaining your device. If you delete the App or reset your device, you may lose your history and rating.

Sign in with Apple (Optional): You may link your Apple account to the App to recover your data (ELO, history, contacts) on a new device. Sign in with Apple is entirely optional and is not required to use the App.

5. Subscriptions and Payments

5.1 Subscription Plans

DUGRIZZ offers subscription plans (weekly and annual) that provide access to premium features. Prices are displayed in the App before purchase.

5.2 Auto-Renewal

Subscriptions automatically renew at the end of each subscription period unless you cancel at least 24 hours before the end of the current period.

5.3 Cancellation

Subscription cancellation is managed through Apple App Store Settings (or Google Play). DUGRIZZ cannot cancel subscriptions directly. Cancellation takes effect at the end of the current billing period.

5.4 Refunds

Refund requests are handled by Apple (or Google) in accordance with their policies. For details, contact App Store support.

6. Acceptable Use

You agree to:

• Use the App for lawful purposes only
• Not upload offensive, illegal, pornographic, or harassing content
• Not upload images of minors
• Not upload content intended to harass, stalk, or harm another person
• Not attempt to hack, disrupt, or overload our servers
• Not use the Service for fraud, harassment, or stalking
• Not attempt to extract or reverse-engineer our AI model or algorithms
• Respect the privacy of other individuals who appear in screenshots

7. User-Generated Content and Arena

7.1 Sharing Content in the Arena

The App includes an "Arena" feature that allows users to share anonymized conversation analyses publicly with other users. Any content you share in the Arena will be visible to other users of the App.

7.2 Content License

By sharing content in the Arena, you grant DUGRIZZ a non-exclusive, royalty-free, worldwide, transferable license to display, distribute, and make available the content you shared within the Service. This license terminates when you delete the content or your account.

7.3 Content Moderation

We reserve the right to review, edit, or remove any content shared in the Arena, at our sole discretion, particularly content that violates these Terms, is offensive, illegal, or violates privacy. We are not obligated to monitor all content on an ongoing basis.

7.4 User Responsibility

You are solely responsible for all content you share in the Arena. You represent that you have the right to share such content and that it does not infringe on the rights of any third party.

9. AI Training Disclaimer

We may use anonymized, aggregated data to improve our AI models and service quality. Such data does not include personally identifiable information and cannot be linked back to any specific user. We do not use personal data for AI model training.

10. Mobile Application License

10.1 Use License

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you, strictly in accordance with these Terms.

You shall not:

• Decompile, reverse engineer, disassemble, or attempt to derive the source code of the App
• Make any modification, adaptation, improvement, or derivative work from the App
• Use the App for any unauthorized commercial purpose
• Make the App available over a network permitting access by multiple devices or users
• Use the App to create a competing product, service, or software

10.2 Apple and Android Devices

The following terms apply when you use the App obtained from the Apple App Store or Google Play (each an "App Distributor"):

1. The license is limited to use on a device utilizing iOS or Android operating systems, in accordance with the App Distributor's usage rules
2. We are responsible for maintenance and support as specified in these Terms; the App Distributor has no obligation to furnish maintenance or support
3. In the event of any failure to conform to any applicable warranty, the App Distributor may refund the purchase price in accordance with its policies
4. You represent and warrant that you are not located in a country subject to a US government embargo and are not on any US government restricted parties list
5. You must comply with applicable third-party terms of agreement when using the App
6. The App Distributors are third-party beneficiaries of these Terms and may enforce them against you

11. Intellectual Property

All content, design, logos, code, and algorithms of DUGRIZZ are the property of DUGRIZZ and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Service without explicit written permission.

AI-generated content (analyses, suggested responses) is provided for your personal use only.

12. Limitation of Liability

The Service is provided "AS IS" without any warranty, express or implied.

• We do not guarantee that the Service will be uninterrupted or error-free
• We are not liable for direct, indirect, incidental, or consequential damages arising from use of the Service
• We are not responsible for outcomes of dating conversations, relationships, or any personal interactions
• There is no guarantee or promise of dating success, finding a partner, or improving relationships
• Our total liability is limited to the amount you paid for the Service in the preceding 12 months

13. Indemnification

You agree to indemnify and hold DUGRIZZ harmless from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and especially if you violate these Terms. Upon termination:

• Your access to the Service will cease
• Sections on limitation of liability, intellectual property, and indemnification will survive
• No refund will be provided for any already-paid subscription period

You may terminate your use of the Service at any time by deleting the App and deleting your account through the App's settings.

15. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be posted on this page with an updated date. Continued use of the App after an update constitutes acceptance of the revised Terms.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any legal proceedings, the parties shall attempt to resolve any dispute informally for a period of 30 days from the date the claim is raised in writing via support@dugrizz.app.

16.2 Binding Arbitration

If the dispute is not resolved informally within 30 days, the parties agree to submit the dispute to binding arbitration before a single arbitrator in Tel Aviv-Jaffa, Israel, under the Israeli Arbitration Law, 5728-1968, before resorting to litigation.

16.3 Class Action Waiver

You waive any right to bring or participate in a class action lawsuit or class-wide arbitration against DUGRIZZ. All disputes shall be resolved on an individual basis only.

17. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the State of Israel, including the Consumer Protection Law, 5741-1981, the Privacy Protection Law, 5741-1981 (including Amendment 13), and the Computer Law, 5755-1995. Any disputes arising from these Terms that are not resolved through arbitration shall be adjudicated in the competent courts of Tel Aviv-Jaffa, Israel.

18. Force Majeure

DUGRIZZ shall not be liable for any delay or failure to perform the Service resulting from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, internet infrastructure failures, cyberattacks, power outages, regulatory changes, or third-party service provider failures.

19. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed from the remainder of the Terms, and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and DUGRIZZ regarding your use of the Service, and supersede any prior agreements or understandings.

21. No Waiver

The failure of DUGRIZZ to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and shall apply only to the specific instance for which it is given.
